1. About Muzica
These Terms of Service are a binding agreement between you and Muzica (Pty) Ltd, enterprise number 2026/070595/07, a South African private company ("Muzica", "we", "us", "our"). Muzica operates a music streaming, discovery, artist, competition, advertising and related digital platform.
2. Acceptance of these Terms
By creating an account, using the website, subscribing, uploading content, entering a competition, voting, or using any Muzica service, you agree to these Terms and all linked policies, including the Privacy Policy, Pricing Policy, Refund Policy, Cancellation Policy, Copyright Policy, Community Guidelines, Artist Terms where applicable, and Competition Rules where applicable.
If you do not agree, you must not use Muzica.
3. Eligibility
You must be legally able to enter into a binding agreement. If you are under 18, you may only use Muzica with permission and supervision from a parent or legal guardian. We may restrict certain features to users who are 18 or older.
4. Account registration
You must provide accurate account information and keep it updated. You are responsible for activity under your account. Keep your login details secure. Tell us immediately if you suspect unauthorised access.
5. Muzica plans
Muzica may offer free and paid plans. Current core pricing:
- Free Listener: R0/month
- Listener Premium: R59/month
- Artist Account: R99/month
6. Payments
Payments are processed through Paystack or another payment provider we may appoint. By paying, you authorise Muzica and its payment provider to process your payment information for the selected plan. We do not intentionally store full card numbers on Muzica servers.
7. Subscriptions and renewal
Paid subscriptions are billed monthly unless stated otherwise at checkout. A subscription may renew automatically if recurring billing is enabled. You are responsible for cancelling before the next billing date if you do not want future charges.
8. Cancellations
You may cancel a paid subscription at any time through your account settings or by contacting support. Cancellation stops future billing. Unless otherwise required by law or stated during cancellation, you keep access until the end of the paid billing period.
9. Refunds
Refunds are handled under the Refund Policy. Cancelling a subscription does not automatically create a refund for the current paid period. We may issue refunds for duplicate charges, technical failure, unauthorised charges, legal cooling-off rights where applicable, or other approved cases.
10. Listener licence
Muzica grants listeners a limited, personal, non-exclusive, non-transferable, revocable licence to stream available content through Muzica for personal use. You may not copy, download, redistribute, sell, rip, reverse engineer, record, or commercially exploit content unless Muzica explicitly allows it.
11. Artist uploads and content ownership
Artists are responsible for the music, artwork, videos, profile content, competition entries, links and other materials they upload. By uploading content, you confirm that you own or control all rights needed to upload, publish, stream, promote and monetise that content through Muzica.
12. Licence from artists to Muzica
When you upload content, you grant Muzica a worldwide, non-exclusive, royalty-bearing where applicable, sublicensable, transferable licence to host, store, reproduce, process, stream, display, promote, distribute, make previews of, use in platform features, and make technically necessary copies of your content for operating, marketing and improving Muzica. This licence continues while your content remains on Muzica and for a reasonable period after removal where needed for backups, legal, accounting, fraud-prevention or dispute purposes.
13. Artist earnings and payouts
Artist earnings, if any, are subject to Muzica's artist payout rules, payment provider requirements, fraud checks, rights checks, taxes, minimum payout thresholds, and any separate artist agreement. Muzica does not guarantee income, streams, playlist placement, promotion, visibility or audience growth.
14. Content moderation
We may review, approve, reject, remove, restrict, demonetise or disable content that we believe violates these Terms, the law, third-party rights, platform rules, competition rules, or our safety standards.
15. Prohibited conduct
You may not:
- Upload content you do not own or have permission to use.
- Infringe copyright, trademarks, privacy, image rights or other rights.
- Manipulate streams, votes, charts, referrals or payouts.
- Use bots, scripts, fake accounts or automated activity.
- Harass, threaten, defame, abuse or exploit others.
- Upload unlawful, hateful, violent, sexually exploitative, fraudulent or harmful content.
- Attempt to bypass security, payment, subscription or access controls.
- Scrape, copy or reverse engineer the platform.
- Use Muzica for spam, malware, phishing or illegal activity.
16. Competitions
Competitions may have extra rules, entry requirements, voting limits, prizes, deadlines and judging criteria. If there is a conflict between these Terms and specific competition rules, the specific competition rules apply for that competition.
17. Advertising and promotions
Muzica may display ads, sponsored content, promoted tracks, featured artists or commercial messages. Paid placement does not guarantee listener engagement, streams, followers, votes or revenue.
18. Third-party links and services
Muzica may integrate with or link to third-party services such as Paystack, Clerk, Appwrite, social platforms, TikTok, Facebook, analytics providers or storage providers. We are not responsible for third-party services, their downtime, policies or actions.
19. Availability
We aim to keep Muzica available, but we do not guarantee uninterrupted service. Features may change, break, be suspended, or be discontinued. We may perform maintenance, updates or emergency fixes.
20. Intellectual property
Muzica's name, logo, platform design, code, branding, playlists, charts, databases, software, documentation and related materials belong to Muzica or its licensors. You may not use Muzica branding without written permission.
21. Privacy
We process personal information according to our Privacy Policy.
22. Termination and suspension
We may suspend or terminate your account if you breach these Terms, create legal risk, fail payment, abuse the platform, infringe rights, manipulate systems, or use Muzica in a harmful way. You may stop using Muzica at any time.
23. Disclaimers
Muzica is provided "as is" and "as available". We do not guarantee that the platform will always be error-free, secure, uninterrupted, profitable, or suitable for your specific purpose.
24. Limitation of liability
To the fullest extent allowed by South African law, Muzica is not liable for indirect, special, incidental, punitive or consequential losses, including lost profits, lost data, lost streams, lost followers, loss of opportunity or reputational harm. Nothing in these Terms excludes liability that cannot legally be excluded.
25. Indemnity
You agree to indemnify Muzica against claims, losses, damages, penalties, costs and expenses arising from your breach of these Terms, your uploaded content, your infringement of third-party rights, your unlawful conduct, or your misuse of the platform.
26. Changes to these Terms
We may update these Terms. If changes are material, we will take reasonable steps to notify users. Continued use after the updated effective date means you accept the updated Terms.
27. Governing law
These Terms are governed by the laws of the Republic of South Africa.
